Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using Worksoo's services, website, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Worksoo provides a cloud-based company management platform that includes: • Employee Management: Profile management, directory, onboarding/offboarding • Attendance & Leave: Time tracking, leave requests, shift management • Payroll & Compensation: Salary processing, tax calculations, payslip generation • Project & Task Management: Task assignment, project tracking, collaboration tools • Reports & Analytics: Dashboards, custom reports, data exports • Document Management: Letter templates, document storage, digital signatures We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms. You are responsible for: • Safeguarding the password used to access the Service • Any activities or actions under your account • Restricting access to your computer and account • Notifying us immediately of any unauthorized access You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

4. Billing and Payments

Subscription Plans: Worksoo offers various subscription plans. By selecting a plan, you agree to pay the subscription fees indicated for that plan. Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Payment Methods: We accept major credit cards, debit cards, and other payment methods as displayed during checkout. Automatic Renewal: Your subscription will automatically renew unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings. Refunds: Refunds are provided in accordance with our refund policy. Annual subscriptions may be eligible for a prorated refund within the first 30 days. Price Changes: We reserve the right to adjust pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to use the Service to: • Violate any applicable laws or regulations • Infringe upon the rights of others • Transmit any malicious code, viruses, or harmful data • Attempt to gain unauthorized access to our systems • Interfere with or disrupt the Service or servers • Collect or harvest user information without consent • Use the Service for any illegal or unauthorized purpose • Impersonate any person or entity • Submit false or misleading information We reserve the right to terminate or suspend your account for violations of these terms.

6. Data Ownership and Privacy

Your Data: You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely for providing the Service. Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure. Data Processing: Our data processing practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Data Portability: You may export your data at any time through the Service's export features. Data Retention: Upon account termination, we will retain your data for 30 days before permanent deletion, unless required by law to retain it longer.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Worksoo and its licensors. Our trademarks, service marks, and logos may not be used without our prior written consent. You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of our software. User-generated content remains your property, but you grant us a license to use, store, and display such content as necessary to provide the Service.

8. Limitation of Liability

To the maximum extent permitted by law, Worksoo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: • Loss of profits, data, or business opportunities • Service interruptions or downtime • Unauthorized access to your data • Errors or omissions in the Service • Any third-party actions or content Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination: • Your right to use the Service will immediately cease • You may request export of your data within 30 days • We may delete your data after the retention period • Provisions that should survive termination will remain in effect You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any obligations to pay fees incurred before termination.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by: • Posting the new Terms on this page • Updating the "Last Updated" date • Sending an email notification to registered users Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new terms, please stop using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to submit to the personal jurisdiction of the courts located in Delaware for any actions not subject to arbitration.
